data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h1><span style=\"color: #000000;\">Terms of Service<\/span><\/h1><p><span style=\"color: #000000;\">Client agrees to use Litigen\u2019s website(s), videography services, trial, and mock trial support services, and Litigen\u2019s cloud-connected document and content management services which may be referred to individually or collectively herein as the \u201cService(s),\u201d \u201cLitigen Platform,\u201d and\/or \u201cSoftware.\u201d The Service and the Software will be provided \u201cas-is\u201d and may not be error free. Therefore, you are advised to safeguard important data, to use caution and not to rely on the correct functioning or performance of the Service or Software. These Terms of Service (\u201cTerms\u201d) cover the Client\u2019s use and access to Litigen\u2019s Services. Our\u00a0Privacy Policy explains how we collect and use client information. By using our Services, the Client agrees to be bound by these Terms and our Privacy Policy.<\/span><\/p><p><span style=\"color: #000000;\">THESE TERMS ARE A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR ENTITY) (\u201cLICENSEE,\u201d \u201cCLIENT,\u201d \u201cYOU\u201d OR &#8220;YOUR&#8221;) AND INTERACTIVE MEDIA, LLC. (\u201cLITIGEN\u201d). BY USING THE SERVICES AND\/OR ANY SOFTWARE HEREIN DESCRIBED, YOU ACKNOWLEDGE THAT YOU HAVE READ THE TERMS AND THE SERVICE AGREEMENT, UNDERSTAND IT AND AGREE TO BE BOUND BY ITS TERMS. IF A CLIENT IS ENTERING INTO THE SERVICE AGREEMENT ON BEHALF OF AN ENTITY, CLIENT REPRESENTS AND WARRANTS TO LITIGEN THAT CLIENT HAS LEGAL AUTHORITY TO BIND THAT ENTITY.<\/span><\/p><h1><span style=\"color: #000000;\">Client Users Access<\/span><\/h1><p><span style=\"color: #000000;\">Initially, to set up a new client, Litigen will create usernames and passwords for each User at the Client. After Client has been onboarded, for security reasons, the Client will be responsible for changing passwords for each User. Client is responsible for maintaining the confidentiality of all logins and passwords, for ensuring that each login and password is used only by the User to which it was issued, for ensuring that logins and passwords are not shared, and for maintaining the security of Client\u2019s account. The Client will immediately notify Litigen by email of the identity of any User no longer authorized to use the Services to enable Litigen to restrict access by such individual.<\/span><\/p><p><span style=\"color: #000000;\">Client is solely responsible for all (a) access and use of the Services that occur using Client\u2019s logins and passwords, and (b) actions of Client and its Users in connection with use of the Services. Litigen shall have no liability for any loss or damage arising therefrom. Client agrees to immediately notify Litigen of any unauthorized use of its account or any login and password, or any other actual or attempted breach of security known to Client.<\/span><\/p><h1><span style=\"color: #000000;\">Software Licenses<\/span><\/h1><p><span style=\"color: #000000;\">Subject to the terms and conditions of the Service Agreement and the Terms, Client is granted a non-transferable, non-exclusive license (\u201cLicense\u201d) to use the Litigen Platform as provided to the Client. The Client shall only use the Services and Litigen Platform in accordance with the Service Agreement and the Terms. Upon termination, Litigen shall have the right to remove all access to the Software from the Client. Software is provided \u201cas is\u201d without warranty of any kind, express, implied, or statutory.<\/span><\/p><h1><span style=\"color: #000000;\">Confidentiality<\/span><\/h1>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-34b40ac elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"34b40ac\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol type=\"A\"><li style=\"list-style-type: none;\"><ol type=\"A\"><li><span style=\"color: #000000;\">Litigen will provide Client with access to Confidential Information that is used in the operation of Litigen\u2019s business as reasonably necessary in the furtherance of the Services.<\/span><\/li><li><span style=\"color: #000000;\">Client acknowledges that Litigen will provide Client with access to Confidential Information only as related to the Services and for the term of the Services rendered under the Agreement.<\/span><\/li><li><span style=\"color: #000000;\">For purposes of the Terms and the Service Agreement, \u201cConfidential Information\u201d means information possessed by Litigen relating to the business, and its business activities not known which is used or is useful in the conduct of Litigen\u2019s business, or which confers or tends to confer a competitive advantage over one who does not possess the information.<\/span><\/li><li><span style=\"color: #000000;\">Confidential Information includes copyrights, trade secrets, knowledge, information about existing, new, or envisioned products, services and processes and their development and performance, any techniques, methodologies, pricing, technical information, computer software, business and financial information, documents, videos provided or shared by Litigen to Client, and information that is not publicly known.<\/span><\/li><li><span style=\"color: #000000;\">During the Term, as defined below, of the Service Agreement, and at all times thereafter, Client shall maintain the strictest confidence of Litigen\u2019s trade secrets and Confidential Information.<\/span><\/li><li><span style=\"color: #000000;\">Client shall not disclose, copy, share, disseminate, transfer, convey, sell, or discuss, directly or indirectly, to any person or entity, Litigen\u2019s copyright information, trade secrets or other Confidential Information, except by express prior written consent of a duly authorized officer or director of Litigen.<\/span><\/li><li><span style=\"color: #000000;\">Client shall use Client\u2019s best efforts and shall take all reasonable precautions to prevent the disclosure of Litigen\u2019s copyright information, trade secrets or other Confidential Information.<\/span><\/li><li><span style=\"color: #000000;\">A breach of this provision includes but is not limited to each disclosure, sharing, dissemination, transfer, conveyance, selling, or discussion of any singular piece of Confidential, trade secret, copyright, and\/or proprietary information.<\/span><\/li><li><span style=\"color: #000000;\">All Confidential Information is and shall remain the sole and exclusive property and proprietary information of Litigen and is disclosed in confidence by Litigen in reliance on Client\u2019s agreement to maintain such Confidential Information in confidence and not to use or disclose such Confidential Information to any person except the Parties to the Service Agreement.<\/span><\/li><li><span style=\"color: #000000;\">Client has no ownership, property rights, or other rights of any kind in Confidential Information, trade secrets, copy rights, proprietary information, or other property of Litigen.<\/span><\/li><li><span style=\"color: #000000;\">Upon the expiration or earlier termination of the Service Agreement for any reason or if Client breaches the Service Agreement, Litigen reserves the right to revoke access to the Litigen Platform including other material that is connected with or derived from Litigen\u2019s Services to Client. Client shall not retain any Confidential Information in any form (e.g., electronic or written) upon the expiration or earlier termination of the Service Agreement.<\/span><\/li><\/ol><\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-779331f elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"779331f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h1><span style=\"color: #000000;\">Ownership Rights<\/span><\/h1><p><span style=\"color: #000000;\">Unless otherwise expressly stated, Client represents that they own all rights, title, and interest in and to any property presented to Litigen or uploaded on the Software, in furtherance of the Service Agreement (the \u201cOwnership Representation\u201d). Litigen shall not be liable for any copyright or trademark infringement based on Ownership Representation by the Client. Client agrees that Litigen may rely on the belief that information and documentation provided to Litigen by Client will not infringe on the rights of any other parties without independent investigation or verification.<\/span><\/p><p><span style=\"color: #000000;\">Services coordinated through Litigen shall create new property, including but not limited to, video depositions, video testimonials, transcripts, and more. The property created as a result of the Services shall be the property of Litigen. The provision of that property to the Client shall result in a revocable license to use the property in favor of the Client.<\/span><\/p><p><span style=\"color: #000000;\">In the event there is a breach in the Ownership Representation, the Client shall indemnify and hold harmless Litigen from any liabilities, penalties, demands, or claims finally awarded that may be made by a third party and related to the Ownership Representation. Both Parties agree to notify the other Party promptly of any written claims or demands against the indemnified Party for which the indemnifying Party is responsible hereunder.\u00a0 Further, upon receipt of such notice, the Client shall promptly reimburse Litigen for any and all attorneys\u2019 fees, costs, or expenses incurred in defending against any written claim or demand.\u00a0<\/span><\/p><h1><span style=\"color: #000000;\">Feedback\/Use of Licensee\u2019s Name<\/span><\/h1><p><span style=\"color: #000000;\">The Client agrees to provide Litigen suggestions, comments and feedback regarding the Services or Software, including but not limited to usability, features, functionality, and bug reports (collectively, &#8220;Feedback&#8221;). If Client provides such Feedback to Litigen, you hereby grant Litigen the following worldwide, non-exclusive, perpetual, irrevocable, royalty free, fully-paid-up rights to: make, use, copy, modify, sell, distribute, publicly perform or display, sublicense (including the right to sublicense to further third parties), and create derivative works of the Feedback as part of any Litigen product, technology, service, specification or documentation (individually and collectively, &#8220;Litigen Products&#8221;). Client warrants that its Feedback is not subject to any license or other terms that would purport to require Litigen to comply with any additional obligations with respect to any Litigen Products that incorporate any Feedback.<\/span><\/p><p><span style=\"color: #000000;\">Litigen may use Licensee\u2019s name and\/or logos to identify Licensee as a Litigen Client in its general marketing materials or otherwise. Clients have the option of opting out by providing Litigen with written notice.<\/span><\/p><h2><span style=\"color: #000000;\">Media (Audio and Video Recordings)<\/span><\/h2>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-55f5ebe elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"55f5ebe\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol type=\"A\">\n \t<li style=\"list-style-type: none;\">\n<ol type=\"A\">\n \t<li><span style=\"color: #000000;\">Upon your purchase of media created or filmed by Litigen\u2019s videography or other similar services (the \u201cMedia\u201d), Litigen grants non-exclusive, non-transferable license for the use of a single<\/span><\/li>\n \t<li><span style=\"color: #000000;\">Litigen, when applicable, will make the Media available for purchase by co-litigants or opposing counsel.<\/span><\/li>\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-896183a elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"896183a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h2><span style=\"color: #000000;\">Termination<\/span><\/h2><p><span style=\"color: #000000;\">The Services are offered on a month-to-month basis (the \u201cTerm\u201d). The Client is free to terminate the Services by providing Litigen with 30 days&#8217; written notice of its intent to terminate. Client is free to stop using our Services at any time. Litigen reserves the right to suspend or terminate Client\u2019s access to the Services if we reasonably believe:<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-282ef5b elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"282ef5b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol type=\"A\"><li style=\"list-style-type: none;\"><ol type=\"A\"><li><span style=\"color: #000000;\">Client is in breach of these Terms or the Service Agreement,<\/span><\/li><li><span style=\"color: #000000;\">Client\u2019s use of the Services would cause a risk of harm or loss to us or other users, or<\/span><\/li><li><span style=\"color: #000000;\">Client has not accessed Litigen Services for 12 consecutive months.<\/span><\/li><\/ol><\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8e41fd7 elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"8e41fd7\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p><span style=\"color: #000000;\">Litigen will provide Client with advance notice via the email address associated with your account to remedy the activity that prompted us to contact you. If after such notice Client fails to take the steps Litigen asks of you, we will terminate or suspend your access to the Services.<\/span><\/p><p><span style=\"color: #000000;\">Litigen may immediately terminate or suspend access to the Services when we reasonably believe:<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-aebfb97 elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"aebfb97\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol type=\"A\">\n \t<li style=\"list-style-type: none;\">\n\n<ol type=\"A\">\n \t<li><span style=\"color: #000000;\">Client is in material breach of these Terms,<\/span><\/li>\n \t<li><span style=\"color: #000000;\">Doing so would cause Litigen legal liability or compromise our ability to provide the Services to our other users, or<\/span><\/li>\n \t<li><span style=\"color: #000000;\">Litigen is prohibited from doing so by law<\/span><\/li>\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7a27670 elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"7a27670\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h2><span style=\"color: #000000;\">Support<\/span><\/h2><p><span style=\"color: #000000;\">Litigen shall provide reasonable technical support.<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6103891 elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"6103891\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol type=\"A\">\n \t<li style=\"list-style-type: none;\">\n\n<ol type=\"A\">\n \t<li><span style=\"color: #000000;\">All inquiries to Litigen technical support must be made by an Authorized Contact. Litigen is under no obligation to respond to other employees of the Client. The Client shall supply Litigen with the names of qualified Authorized Contacts.<\/span><\/li>\n \t<li><span style=\"color: #000000;\">Litigen will respond to Client inquiries during normal business hours.<\/span><\/li>\n \t<li><span style=\"color: #000000;\">Litigen will make reasonable efforts to provide technical support, it provides no assurance that any specific errors in the Services or Software will be corrected.<\/span><\/li>\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-dc0df05 elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"dc0df05\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h2><span style=\"color: #000000;\">HIPAA<\/span><\/h2><p><span style=\"color: #000000;\">\u201cHIPAA\u201d means the Health Insurance Portability and Accountability Act of 1996, a Federal law and regulations (amended by the HITECH Act) that require all covered entities, their business associates, and their subcontractors or agents to adhere to a minimum set of standards regarding the collection and processing of patient information and restricts the disclosure of such information. In the event any documents, video, transcripts, or other similar materials would fall into the protections of HIPAA, that Client shall be responsible for staying in compliance with all applicable HIPPA rules and regulations. The Client is responsible for all HIPAA compliances requirements at all times.<\/span><\/p><h2><span style=\"color: #000000;\">Compliance<\/span><\/h2><p><span style=\"color: #000000;\">In the Client\u2019s use of the Services or Software, Client agrees to comply with all applicable laws and regulations. Client shall, in connection with its use of the Services or Software, comply with all applicable import, export and re-export control laws and regulations of any country, including the U.S. Export Administration Regulations, the U.S. International Traffic in Arms Regulations, Council Regulation (EC) No 428\/2009 on the control of exports of dual-use items and technology, and \u00a0country-specific economic sanctions programs or embargoes adopted against countries or individuals under any applicable national or international legislation, including any measures implemented by the U.S. Office of Foreign Assets Control. \u00a0For clarity, Client is solely responsible for compliance related to the way Client chooses to use the Services or Software.<\/span><\/p><p><span style=\"color: #000000;\">Client must be compliant at all times with applicable: local laws and regulations and shall solely be responsible for confirming that the Services are not in violation of any State Bar Association or other governing board or any other entity. This shall include any applicable laws, statutes, and regulations outside of the United States of America. Litigen makes no representation that the Services are compliant outside of the United States of America, any use of the Services outside of the United States of America are done so in the Client\u2019s sole risk.<\/span><\/p><h2><span style=\"color: #000000;\">License Grant and Restrictions<\/span><\/h2><p><span style=\"color: #000000;\">Subject to the terms and conditions of the Service Agreement and the Terms of Service, Litigen grants to Client a non-exclusive, non-transferable license (without right to sublicense) to use the Services and\/or Software for so long as the Client remains in good standing and are not behind on payments to Litigen.<\/span><\/p><p><span style=\"color: #000000;\">Except as otherwise specifically permitted in writing, Client may not:<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c75b3df elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"c75b3df\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol type=\"A\">\n \t<li style=\"list-style-type: none;\">\n\n<ol type=\"A\">\n \t<li><span style=\"color: #000000;\">Modify or create any derivative works of the Services or Software;<\/span><\/li>\n \t<li><span style=\"color: #000000;\">Copy any portion of the Services or Software;<\/span><\/li>\n \t<li><span style=\"color: #000000;\">Sublicense or, unless Client has signed up for an account that permits more than one User, permit use of the Services or Software by more than one User;<\/span><\/li>\n \t<li><span style=\"color: #000000;\">Reverse engineer, decompile, disclose or teach features to a competitive service, or disassemble or otherwise attempt to derive the source code for the Software (except to the extent applicable laws specifically prohibit such restriction); or<\/span><\/li>\n \t<li><span style=\"color: #000000;\">Use the Services or Software in a timesharing, or hosting, or otherwise transfer rights to the Services or Software.<\/span><\/li>\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2cde4d7 elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"2cde4d7\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p><span style=\"color: #000000;\">Any update to the Software provided to the Client is made on a license exchange basis such that Client agrees, as a condition for receiving an update, that Client will terminate Client\u2019s use of any previous version of the Software. Litigen may automatically check the Services and\/or Client\u2019s version of the Software and may automatically update the Services and\/or Software from time to time. The Client agrees to accept such updates subject to the Service Agreement and the Terms.<\/span><\/p><p><span style=\"color: #000000;\">The Client agrees that Client will not:<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f05720c elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"f05720c\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol type=\"A\"><li style=\"list-style-type: none;\"><ol type=\"A\"><li><span style=\"color: #000000;\">Transmit any viruses or other computer instructions or technological means that disrupt, damage, or interfere with the use of computers or related<\/span><\/li><li><span style=\"color: #000000;\">Attempt to circumvent any technological measure implemented by<\/span><\/li><li><span style=\"color: #000000;\">Access the Services\/Software other than through the interfaces provided by Litigen or interfere with or disrupt the proper operation of the Services\/Software.<\/span><\/li><\/ol><\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7fa3d7b elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"7fa3d7b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h2><span style=\"color: #000000;\">Electronic Communications<\/span><\/h2><p><span style=\"color: #000000;\">Visiting Litigen\u2019s site or the Software application, contacting us through our site or App, or sending emails to us constitutes electronic communication(s). The Client consents to receive electronic communications from us, and Client agrees that all terms, notices, disclosures, and other communications that we provide to you electronically whether by email, directly on the site, or while using the application(s) satisfy any legal requirements to the extent permissible under applicable law that such communications be \u201cin writing.\u201d<\/span><\/p><h2><span style=\"color: #000000;\">Fees and Payment of Fees<\/span><\/h2><p><span style=\"color: #000000;\">If there is a fee associated with your use of the Services or Software, Client agrees to pay that fee. The fee charged excludes all applicable taxes and currency exchanges, unless stated otherwise. Client is solely responsible for paying such taxes or other charges. Litigen may suspend or cancel Client\u2019s access to the Services or Software if Litigen does not receive payment from Client. Suspension or cancellation for non-payment may result in a loss of access to and use of Client\u2019s account. Client will be asked to establish a payment method at the time it signs up with Litigen. Client agrees to keep its billing account information current at all times.<\/span><\/p><p><span style=\"color: #000000;\">By providing Litigen with Client\u2019s payment method, Client:<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8a40751 elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"8a40751\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol type=\"A\"><li style=\"list-style-type: none;\"><ol type=\"A\"><li><span style=\"color: #000000;\">Represents that they are authorized to use the payment method as \u00a0\u00a0provided and that any payment information provided is true and accurate; and<\/span><\/li><li><span style=\"color: #000000;\">Authorizes Litigen to charge Client\u2019s payment method and to charge Client for any paid feature that Client chooses to sign up for or use while the Service Agreement is in effect.<\/span><\/li><\/ol><\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2787c5f elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"2787c5f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p><span style=\"color: #000000;\">Client acknowledges and agrees that Litigen may bill Client on a recurring basis for Services that Client purchases on a subscription basis. Client acknowledges that Litigen may apply additional fees for usage, storage space or services per Litigen\u2019s billing schedule. If Client takes part in any trial offer, Client must cancel the Services by the end of the trial period to avoid incurring charges. Client authorizes Litigen to charge a 10% (ten percent) fee for any late or unpaid invoices, additionally Litigen is entitled to attorney fees related to any collections efforts related to your account.<\/span><\/p><p><span style=\"color: #000000;\">Litigen may change the price it charges for the Services at any time and will notify Client in advance of such changes. If Client does not agree to the price change, Client must cancel and stop using the Services before the price change takes effect. If there is a fixed term and price for your Services, that price will remain in force for that term. Unless otherwise provided by law or by a particular Services offer, all purchases are final and non-refundable.<\/span><\/p><h2><span style=\"color: #000000;\">Client Warranty<\/span><\/h2>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-362fb72 elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"362fb72\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol type=\"A\">\n \t<li style=\"list-style-type: none;\">\n\n<ol type=\"A\">\n \t<li><span style=\"color: #000000;\">Client agrees not to request, advise, file a claim, or seek Client\u2019s bank or credit card company for a chargeback for consideration paid for the Services.<\/span><\/li>\n \t<li><span style=\"color: #000000;\">Client agrees to waive any rights Client may have under applicable state and federal truth in lending laws or otherwise (including, but not limited to, under Client\u2019s credit card issuer\u2019s procedures for resolving such disputes).<\/span><\/li>\n \t<li><span style=\"color: #000000;\">Client agrees that any disputes that Client may have with respect to consideration paid for the Services must be addressed directly between Client and Litigen.<\/span><\/li>\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c2da008 elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"c2da008\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h2><span style=\"color: #000000;\">No Legal Advice<\/span><\/h2><p><span style=\"color: #000000;\">Nothing in the Litigen site or Software applications is intended to create an attorney-client relationship between the Client and Litigen. The content of the Services and\/or Software should not be deemed legal advice, and Client should not rely on any part of the Services\/Software as legal advice related to your circumstances or business.<\/span><\/p><h2><span style=\"color: #000000;\">Unauthorized Use<\/span><\/h2><p><span style=\"color: #000000;\">Client agrees to use reasonable efforts to cooperate with and assist Litigen in identifying and preventing any unauthorized use, copying, or disclosure of the Services or the Software.<\/span><\/p><h2><span style=\"color: #000000;\">Litigen Proprietary Rights<\/span><\/h2><p><span style=\"color: #000000;\">Litigen owns all proprietary rights in and to the Services and the Software. The Services and any Software provided to you is licensed and not sold. Except as expressly provided herein, Litigen retains all rights and does not grant any express or implied right to Client under any Litigen patents, copyrights, trademarks, or trade secret information.<\/span><\/p><h2><span style=\"color: #000000;\">Modification and Termination of the Service and\/or Software<\/span><\/h2><p><span style=\"color: #000000;\">Litigen may place limits on, modify, suspend or terminate the Services generally, may remove or disable access to any content posted by Client in using the Services and may suspend or terminate Client\u2019s use of the Services or terminate the Service Agreement at any time, including as a result of Client\u2019s use of the Services that Litigen \u00a0reasonably deems to be excessive, which may include usage that substantially and repeatedly exceeds the typical levels of usage by other users of same category\/tier of Service.<\/span><\/p><p><span style=\"color: #000000;\">Notwithstanding anything else in the Service Agreement, this suspension or termination may result in the immediate deletion of Client\u2019s documents, information, files, and other previously available content. Litigen is under no obligation to return any content to you. If Litigen terminates the Services, Client\u2019s use of the Services, the rights and licenses granted to Client under the Service Agreement shall immediately terminate and Client shall immediately cease using the Services.<\/span><\/p><h2><span style=\"color: #000000;\">Changes to this Agreement<\/span><\/h2><p><span style=\"color: #000000;\">Litigen may change the Terms and will post the modified agreement (which shall then become the Terms) on the Software application and\/or the Litigen website. Therefore, Litigen encourages you to check the Terms of Service and the Service Agreement from time to time to see if they have been updated. If Client does not agree to the modified agreement, Client\u2019s sole recourse is to stop using the Services and\/or Software. Client\u2019s continued use of the Services or Software after the date the modified Terms are posted will constitute Client\u2019s acceptance of the modified agreement.<\/span><\/p><h2><span style=\"color: #000000;\">Indemnification by Client<\/span><\/h2><p><span style=\"color: #000000;\">Client agrees to defend, indemnify, and hold harmless Litigen, and its employees, members, officers, agents, representatives, and contractors from and against any \u00a0and all claims, losses, damages, complaints, demands, obligations, actions, lawsuits, judgments, awards, penalties, verdicts, payments or causes of action of any kind including but not limited to claims for personal injury, damages to a business, contract, tort, contribution and\/or indemnity, claims for statutory indemnity, negligence, gross negligence, and any other liability of any kind brought by Client or any third party including all associates of the Client or third party including all associates if the Client or third parties, anyone bringing derivative claims, and\/or anyone bringing claims by, through, or under the client or third parties, related in any way to incident to, arising out of, or in connection with the agreement (including but not limited to the services rendered or information obtained in the program, consideration, confidential, proprietary, or copyright information) acts and\/or omissions of Litigen, and its employees, members, officers, agents, representatives, and contractors.<\/span><\/p><h2><span style=\"color: #000000;\">Exclusion of Warranties<\/span><\/h2><p><span style=\"color: #000000;\">Licensee acknowledges and understands that the Services and any Software may contain errors, omissions, and problems. Licensee hereby accepts the Services and Software \u201cas is\u201d and with all faults, defects and errors and licensee understands that it assumes all risk or use, quality, and performance. Neither Litigen nor any of Litigen\u2019s licensors make any express warranties, and each of them disclaims all implied warranties, including implied warranties or accuracy, merchant ability, fitness for a particular purpose, title, and non-infringement.<\/span><\/p><h2><span style=\"color: #000000;\">Limitation of Liability<\/span><\/h2><p><span style=\"color: #000000;\">LICENSEE AGREES AND ACKNOWLEDGES THAT NEITHER LITIGEN NOR ANY OF ITS LICENSORS MAY BE HELD LIABLE FOR ANY CLAIM, LOSS, DAMAGES, EXPENSES OR COSTS OF AN INDIRECT NATURE, INCLUDING CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS OR OTHERWISE AND IN NO EVENT SHALL THEY BE LIABLE FOR ANY DAMAGES IN EXCESS OF THE AMOUNT OF FEES PAID TO LITIGEN BY LICENSEE (IF ANY) UNDER THE TERMS OR THE SERVICE AGREEMENT DURING THE IMMEDIATELY PRECEDING SIX MONTHS. THIS LIMITATION APPLIES TO ALL CAUSES OF ACTION OR CLAIMS IN THE AGGREGATE, INCLUDING, WITHOUT LIMITATION, BREACH OF CONTRACT, BREACH OF WARRANTY, INDEMNITY, NEGLIGENCE, STRICT LIABILITY, MISREPRESENTATION AND OTHER TORTS. THE LIMITATIONS IN THIS SECTION APPLY TO CLIENT ONLY TO THE EXTENT THEY ARE LAWFUL IN CLIENT\u2019S JURISDICTION.<\/span><\/p><p><span style=\"color: #000000;\">THIS LIMITATION OF LIABILITY IS INTENDED TO APPLY WITHOUT REGARD TO WHETHER OTHER PROVISIONS OF THE TERMS OR THE SERVICE AGREEMENT HAS BEEN BREACHED OR HAVE PROVEN INEFFECTIVE OR IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. CLIENT ACKNOWLEDGES THAT IF THE ABOVE LIMITATION WERE NOT INCLUDED HEREIN, LITIGEN WOULD NOT LICENSE THE SERVICES OR SOFTWARE TO THE CLIENT.<\/span><\/p><h2><span style=\"color: #000000;\">Third-Party Service Providers<\/span><\/h2><p><span style=\"color: #000000;\">The Services may include links, access, widgets, tools, or other similar access to other sites on the Internet or software that are owned and operated by online merchants and other third parties. Client acknowledges that Litigen is not responsible for the availability of, or the content located on or through, any third- party site. Client should contact the site administrator or webmaster for those third-party sites if there are any concerns regarding such links or the content located on such sites. The Client\u2019s use of those third-party sites is subject to the terms of use and privacy policies of each site, and Litigen is not responsible therein.<\/span><\/p><h2><span style=\"color: #000000;\">Ethical Business Conduct<\/span><\/h2><p><span style=\"color: #000000;\">Litigen is committed to integrity and high standards of business conduct in everything it does, especially in its dealings with its customers, suppliers, and contractors. As a result, Litigen supports and agrees to abide by the following principles:<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-b167bb4 elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"b167bb4\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol type=\"A\">\n \t<li style=\"list-style-type: none;\">\n\n<ol type=\"A\">\n \t<li><span style=\"color: #000000;\">To obey the applicable laws and regulations governing its business conduct worldwide, including in its hiring practices and laws and regulations related to anti-discrimination and forced, compulsory or child labor;<\/span><\/li>\n \t<li><span style=\"color: #000000;\">To be honest, fair, and trustworthy in its relationships and not to engage in corruption in any form, including extortion and bribery; and<\/span><\/li>\n \t<li><span style=\"color: #000000;\">To strive to create a safe workplace and to protect the environment and through leadership at all levels, to sustain a culture where ethical conduct is recognized and<\/span><\/li>\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-67a9d2b elementor-widget__width-initial elementor-widget elementor-widget-text-editor\" data-id=\"67a9d2b\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<h2><span style=\"color: #000000;\">General Legal Terms<\/span><\/h2><p><span style=\"color: #000000;\">The Terms and the Service Agreement is the entire agreement between Client and Litigen related to the Services and\/or Software, replacing any prior agreements. There are no other third-party beneficiaries to this Agreement. The parties to this Agreement are independent contractors, and nothing in the Terms of the Service Agreement creates an agency, partnership, or joint venture. The Client shall not assign the Service Agreement, by operation of law or otherwise. Litigen may assign the Service Agreement.<\/span><\/p><p><span style=\"color: #000000;\">Failure to enforce any provision will not constitute a waiver of that provision. If any provision of the Terms or the Service Agreement is found unenforceable, it and any related provisions will be interpreted to best accomplish the unenforceable provision&#8217;s essential purpose and, in any event, the remainder of the Agreement shall be unaffected.
